Arbitration and Class Action Waiver — Please Read
This agreement includes a binding arbitration provision and class action waiver detailed in Section 18. By using the Services, you agree to resolve disputes individually through arbitration rather than through court proceedings or class actions. Please review Section 18 carefully before using the Services.
1. About These Terms
4Ever HoldCo LLC, operating the consumer-facing brand "4Ever Young" ("we," "us," or "our"), operates a clinical infrastructure, technology, and care-coordination platform that connects patients with licensed, independent healthcare providers operating through affiliated professional medical entities. These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, patient portal, and all associated services (collectively, the "Services"). 4Ever Young is not a healthcare provider and does not practice medicine; clinical services are delivered by independent licensed providers operating through their own professional entities, with whom you will form an independent provider-patient relationship. By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.
These Terms incorporate by reference our Privacy Policy, our Notice of Privacy Practices (where applicable), and any supplemental terms presented to you in connection with specific Services.
2. What the Services Include
4Ever Young operates as a clinical infrastructure and managed services organization (MSO). We do not employ physicians, practice medicine, or provide clinical care. All medical decisions are made by independent, licensed healthcare providers operating through affiliated professional medical entities in the states where those providers are licensed to practice.
The affiliated professional medical entities providing clinical services to you through the Services are, collectively (the "Practice"): (a) Arora Health and Aesthetics HUB, P.A., a Florida professional association; (b) Arora Health of CA, PC, a California professional corporation; (c) Arora Health of NJ, PC, a New Jersey professional corporation; (d) Arora Health of NY, PC, a New York professional corporation; and (e) Arora Health of KS, PC, a Kansas professional corporation. Clinical services are available only in the states where the Practice and its providers are licensed. 4Ever Young and 4Ever HoldCo LLC do not employ the providers who treat you and do not make any clinical decisions about your care. References in these Terms to "your provider" mean the independent licensed provider treating you through the Practice.
Through the Services, patients may access:
- Coordination with licensed, independent healthcare providers for telehealth consultations across service lines including HRT, GLP-1/weight management, peptides, IV therapy, aesthetics, and longevity/regenerative medicine.
- Facilitation of Good Faith Examinations (GFEs) and clinical clearances required for treatment.
- Coordination with licensed pharmacies and compounding facilities for fulfillment of prescriptions issued by your provider.
- Secure electronic health record management and clinical documentation support.
- Scheduling, billing administration, and care coordination services.
- Patient education resources and health information materials.
Nothing available through the Services constitutes a diagnosis, treatment recommendation, or medical opinion from 4Ever Young. All clinical determinations rest solely with your treating provider.
No Insurance Accepted
The Services operate on a direct-pay, cash-pay basis. We do not accept commercial health insurance, are not in-network with any insurance plan, and are not enrolled as providers under Medicare, Medicaid, or any federal or state healthcare program. By using the Services, you acknowledge that you are solely responsible for all fees. No claims will be submitted to any insurer or governmental payor on your behalf.
No Prior Authorization
Because the Services operate entirely outside of insurance, prior authorization is not required and is not available. 4Ever Young and affiliated providers do not submit to or engage with insurance utilization review processes. Patients who subsequently seek insurance reimbursement for services or medications received through the platform do so at their own initiative and assume full responsibility for any resulting disputes with their insurer.
Controlled Substances
Controlled substances are not available through the Services at this time. Affiliated providers do not prescribe Schedule II, III, IV, or V controlled substances through the Services in any state. If your clinical needs require a controlled substance — including but not limited to opioids, benzodiazepines, stimulants, testosterone, or phentermine — you must consult an in-person provider.
If 4Ever Young expands the Services to include controlled substances in the future, availability will be governed by the Controlled Substances Act (21 U.S.C. § 812), the Ryan Haight Online Pharmacy Consumer Protection Act, applicable DEA telemedicine regulations, and state-specific telehealth controlled-substance laws. Any change will be disclosed before any controlled substance is prescribed to you, and clinical suitability will remain in the sole judgment of your treating provider.
Pharmacy Services
If your provider issues a prescription, we will coordinate fulfillment with licensed pharmacies or compounding facilities within our network (the "Pharmacy Network"). You may also request that your prescription be sent to a pharmacy of your choice. By using the Services, you authorize us to share your health information, prescription details, and relevant personal information with the Pharmacy Network or your selected pharmacy as necessary to fulfill your prescription.
Compounded Medications. Some treatments coordinated through the Services involve compounded preparations dispensed by state-licensed 503A compounding pharmacies or FDA-registered 503B outsourcing facilities. Compounded medications are not FDA-approved, are not evaluated by FDA for safety, effectiveness, or quality, and are not interchangeable with FDA-approved branded products. Compounded preparations may contain different active ingredients, salts, or excipients than the branded reference product. Compounding pharmacies are not "FDA-approved" pharmacies; 503A compounding pharmacies are state-licensed, and 503B outsourcing facilities are FDA-registered. Risks may include allergic reactions, dosing errors, contamination, and unexpected side effects. Before any compounded medication is prescribed, you will receive a separate Compounded Medications Disclosure and must acknowledge it.
Pharmacy and Lab Independence. Pharmacies, compounding facilities, and reference laboratories used by your provider are independent businesses, not employees or agents of 4Ever Young, 4Ever HoldCo LLC, or any affiliated professional entity. You may at any time request that your prescription be sent to a pharmacy of your choice. We do not guarantee the performance of any pharmacy, compounding facility, or laboratory; complaints concerning a pharmacy, compounding facility, or laboratory should be directed to the entity itself or to the applicable state pharmacy board.
No Guarantee of Prescription. Payment for a consultation, intake, subscription, or program does not guarantee that any medication will be prescribed or that any treatment will be approved. The treating provider, in their sole clinical judgment, determines whether any treatment is clinically appropriate. If a provider declines to prescribe a treatment after reviewing your intake or after a consultation, your consultation/program fee will be refunded as described in Section 16, less any clinical review fee disclosed to you before payment.
3. Who Can Use the Services
The Services are available to adults who are 18 years of age or older and physically located within a state where our affiliated providers are licensed to practice. Some Services may only be available to individuals 21 or older. Minors may not use the Services under any circumstances.
By using the Services, you represent and warrant that you meet these eligibility requirements and that all information you provide is accurate, current, and complete. Eligibility does not guarantee that you will receive any particular treatment — clinical suitability is determined solely by your provider.
4. Creating and Managing Your Account
You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at telehealth@fyinstitute.com if you suspect unauthorized access to your account.
5. Your Privacy and Health Information
Our Privacy Policy explains how we collect, use, store, and share your information. Our Notice of Privacy Practices describes how protected health information may be used and disclosed under applicable federal and state law, including HIPAA. Both documents are incorporated into these Terms by reference. If you are a Washington state resident, please also review our My Health My Data Privacy Policy. The Practice is the HIPAA-covered entity responsible for your protected health information; 4Ever Young provides administrative services to the Practice under a written Business Associate Agreement.
6. Platform Ownership and Permitted Use
All content, features, software, and functionality of the Services are owned by or licensed to 4Ever Young ("Platform Content"). We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services solely for your own personal, non-commercial healthcare purposes. All other rights are reserved.
7. Your Content
When you submit information through the Services, you grant 4Ever Young, our affiliated provider entities, and our service providers a license to use, store, process, and share that information as necessary to deliver the Services, coordinate your care, maintain records, and improve our platform. Information that constitutes protected health information ("PHI") is governed by our Notice of Privacy Practices and applicable law. You represent that all information you submit is accurate and that you have the right to share it.
8. Copyright Infringement Claims
We comply with the Digital Millennium Copyright Act (17 U.S.C. § 512). To submit a copyright infringement notice, contact our Designated DMCA Agent at:

Your notice must include: (1) signature of the rights holder or authorized representative; (2) identification of the copyrighted work; (3) identification of the infringing material and its location on the Services; (4) your contact information; (5) a good-faith belief statement; and (6) a statement under penalty of perjury that the information is accurate.
9. Prohibited Conduct
You agree not to use the Services in any manner that:
- Violates any applicable federal, state, or local law or regulation.
- Impersonates any person or entity, or misrepresents your identity or affiliation.
- Introduces malware, viruses, or other harmful code into the Services or our systems.
- Attempts to gain unauthorized access to any part of the Services, our systems, or data belonging to other users.
- Involves scraping, crawling, or automated data collection from the Services without our prior written consent.
- Involves commercial exploitation of any Platform Content or user data.
- Involves the resale, sublicensing, or redistribution of access to the Services.
- Transmits unsolicited commercial communications or spam.
- Interferes with or disrupts the integrity, performance, or availability of the Services.
- Facilitates the harassment, intimidation, or harm of any provider, staff member, or other user.
- Removes, alters, or obscures any proprietary notices or disclaimers on the Services.
- Creates competing products or platforms using our Platform Content or proprietary information.
- Enables any third party to do any of the above.
10. No Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, 4EVER YOUNG AND ITS AFFILIATED ENTITIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, AVAILABILITY, SECURITY, OR FREEDOM FROM ERRORS, VIRUSES, OR HARMFUL COMPONENTS.
4EVER YOUNG DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT ANY RESULTS OBTAINED WILL BE ACCURATE OR RELIABLE. NOTHING IN THE SERVICES CONSTITUTES MEDICAL ADVICE, AND 4EVER YOUNG MAKES NO REPRESENTATION THAT ANY TREATMENT, MEDICATION, OR CLINICAL APPROACH IS SAFE, APPROPRIATE, OR EFFECTIVE FOR YOU.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 4EVER YOUNG AND ITS AFFILIATED ENTITIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF 4EVER YOUNG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL 4EVER YOUNG'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (I) ONE HUNDRED DOLLARS ($100) OR (II) THE TOTAL AMOUNT YOU PAID FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
California residents waive California Civil Code § 1542 (general release does not extend to unknown claims).
Carve-Outs. Nothing in this Section 11 limits your right to recover for (i) personal injury caused by 4Ever Young or by an affiliated provider; (ii) gross negligence or willful misconduct; (iii) statutory consumer-protection claims that cannot be waived under applicable state law (including the Washington My Health My Data Act and state attorney-general enforcement actions); or (iv) claims that, as a matter of law, are non-waivable.
12. Your Indemnification Obligations
You agree to defend, indemnify, and hold harmless 4Ever Young, its affiliated professional entities, and each of their respective officers, directors, employees, agents, contractors, licensors, and successors from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use of the Services in violation of these Terms; (ii) your submission of false or inaccurate information; (iii) your violation of any applicable law or regulation; or (iv) your infringement of any third-party rights.
13. Third-Party Services
The Services may include links to or integrations with third-party websites, tools, or services not operated or controlled by 4Ever Young. We are not responsible for their content, privacy practices, or availability. Any link or integration is provided for convenience only and does not constitute an endorsement. Your use of third-party resources is at your own risk.
14. Changes to These Terms or the Services
We may update these Terms at any time. Material changes will be communicated by updating the "Last Updated" date and, where required by law, by direct notice. Your continued use of the Services after any update constitutes acceptance of the revised Terms. We may also modify, suspend, or discontinue the Services at any time without notice.
15. Fees and Payment
Fees are presented at checkout before you confirm any purchase. By submitting payment, you authorize 4Ever Young, our affiliated entities, and our payment processors to charge your designated payment method for all applicable fees. Prices are subject to change.
Patient Financial Responsibility
You are solely responsible for all fees charged through the Services. 4Ever Young and affiliated providers do not bill insurance and will not submit claims on your behalf. If you choose to seek reimbursement from your insurer, you do so independently. We are not responsible for any insurer's determination of coverage, medical necessity, or reimbursement eligibility. Certain medications — including compounded preparations — may be categorically excluded from insurance coverage.
Subscriptions and Recurring Billing
Certain care plans are structured as recurring subscriptions. The price, billing frequency, and renewal date will be disclosed clearly and conspicuously before you complete checkout, and we will email you a written confirmation containing the same information. Your subscription will automatically renew at the price disclosed at sign-up until you cancel. You may cancel at any time at no cost through your account settings (one-click cancel) or by emailing telehealth@fyinstitute.com. If you cancel before your next billing date, you will not be charged for the next cycle. For plans of one year or longer, we will send you a renewal reminder at least 15 days before each renewal date.
Non-Refundable Charges
Due to the regulated and perishable nature of prescription medications, all charges are generally non-refundable once an order has been processed. Exceptions may apply for product damage, loss in transit, or treatment unavailability as described in Section 16.
16. Refunds and Treatment Availability
Treatment plans are subject to product availability, applicable regulations, and the clinical judgment of your provider. 4Ever Young does not guarantee the continuous availability of any specific medication, including compounded preparations subject to FDA shortage status.
Refunds When a Provider Declines to Prescribe. If, after reviewing your intake or after a consultation, the assigned provider declines to prescribe any treatment for clinical reasons, your consultation or program fee will be refunded in full, less any clinical-review fee that was disclosed to you in writing before you paid. Refunds will be processed to your original payment method within 30 days.
Refunds for Unavailable Treatments
If a prescribed treatment becomes unavailable due to supply shortages, regulatory changes, or circumstances outside our control, you may be eligible for a prorated refund based on the unshipped portion of any prepaid plan. Approved refunds are processed within 30 days.
Treatment Alternatives
If your prescribed treatment is unavailable, your provider may recommend a clinically appropriate alternative. You may accept the alternative, request a refund, or request a platform credit toward a future plan.
17. Ending Your Use of the Services
You may stop using the Services at any time. 4Ever Young may suspend or terminate your access at any time, with or without notice, for any reason including violation of these Terms. Sections 5, 10, 11, 12, 18, and 20 survive termination. Following termination, your medical records will be retained in accordance with applicable law and will be accessible to you as required by law.
18. Governing Law and Dispute Resolution
IMPORTANT: THIS SECTION REQUIRES YOU TO RESOLVE MOST DISPUTES WITH 4EVER YOUNG THROUGH BINDING INDIVIDUAL ARBITRATION. BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION PROCEEDING.
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Non-arbitrable disputes shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware.
Mandatory Arbitration
Except as set forth below, all disputes arising out of or relating to these Terms or the Services will be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitrator's decision will be final and binding.
Before initiating arbitration, the party asserting a claim must send written notice to the other party and make a good-faith effort to resolve the dispute within 30 days.
Exceptions to Arbitration
- Either party may bring an individual claim in small claims court.
- Either party may seek injunctive or equitable relief in court to protect intellectual property rights or prevent irreparable harm.
- Nothing in this section prevents you from filing a complaint with a government agency.
- Statutory and Pre-Suit Procedures. This arbitration provision does not waive any non-waivable statutory rights, including under the Washington My Health My Data Act, state consumer-protection statutes, or applicable state medical-malpractice screening or pre-suit notice procedures.
Class Action Waiver
YOU AND 4EVER YOUNG EACH AGREE THAT ANY PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.
19. Communicating With Us
Text Messages. If you provide your mobile phone number, you may receive service-related (transactional) text messages from us about your account, appointments, prescriptions, refills, and order updates. By providing your mobile number you consent to receive those transactional messages. Marketing or promotional text messages require your separate, affirmative opt-in. Standard message and data rates may apply. Reply HELP for help; reply STOP to opt out at any time. Your consent to receive marketing communications is not a condition of using the Services or of receiving any treatment.
20. General Provisions
No Waiver
Our failure to enforce any provision of these Terms on any occasion does not waive our right to enforce that provision in the future.
No Agency or Partnership
4Ever Young is a managed services organization. Nothing in these Terms creates a partnership, joint venture, employment relationship, or agency between 4Ever Young and you, any provider, or any third party. Independent licensed providers make all clinical decisions in their own professional capacity.
Assignment
You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.
Entire Agreement
These Terms, together with our Privacy Policy, Notice of Privacy Practices, and any supplemental terms applicable to specific Services, constitute the entire agreement between you and 4Ever Young with respect to your use of the Services.
Identity, State of Presence, and Recording. To be eligible for telehealth care through the Services you must verify your identity (with a government-issued ID or equivalent verification method) and confirm the state in which you are physically located at the time of the encounter. The provider you see must be licensed in the state where you are physically located. Telehealth visits are not recorded unless you and your provider expressly consent.
Severability
If any provision of these Terms is found invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions continue in full force.
